These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Vanguard HR Inc. and its subsidiaries and affiliates (collectively, “Company“, “we”, “us”, or “our”). These Terms govern your use of the Careerpilot platform, mobile site or mobile application and the services provided by us (collectively, the “Platform”) By accessing or using the Platform, you agree to be bound by these Terms.

User Agreement
1.1 Age Requirement: By using the Platform, you confirm that you are at least 18 years old or have obtained parental consent to use the services.

1.2 Registration: To access and use the Platform, you are required to create an account by providing your email address and creating a password. All information provided during registration is governed by our Privacy Policy.

1.3 Acceptance: You must agree to these Terms of Service and our Privacy Policy to use the Platform.

User Content and Intellectual Property
3.1 User Rights: You retain all rights to the content you upload or create using our Platform. We do not claim ownership over your content.

3.2 Licenses: By using our Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing the services.

Privacy and Data Protection
4.1 Privacy Policy: Your use of the Platform is subject to our Privacy Policy. Please review the Privacy Policy to understand how we collect, use, and protect your personal information.

Payment and Plans
5.1 Subscription Plans: We offer both free and paid plans.

5.2 Free Trial: We provide a 7-day free trial period for users to test the platform. During the trial, you can create one resume. To download resumes and continue using the platform after the trial period, a paid subscription must be purchased.

5.3 Paid Plan: The paid subscription plan allows you to create unlimited resumes, cover letters and access to premium features. The plan is billed once upon purchase at $14.95USD for 3-months access or $49.95USD for 12-months access.

5.4 Billing and Refunds: Payment for the paid plan is non-refundable.

6. Termination
6.1 User Termination: You can terminate your account at any time by contacting our support team or using the account termination feature provided in the user settings menu.

6.2 Platform Termination: We reserve the right to suspend or terminate your access to the Platform and services at our discretion, without prior notice.

7. Prohibition of Reverse Engineering and Unauthorized Use

7.1 Reverse Engineering: You expressly agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of the Platform or any associated software.

7.2 Duplication and Unauthorized Use: You agree not to duplicate, copy, reproduce, modify, create derivative works from, distribute, or publicly display any part of the Platform, including its design, features, functionality, or content, without our prior written consent.

8.2 Prohibition of Malicious Activities: You expressly agree not to engage in any activities that are malicious, harmful, disruptive, or illegal. This includes, but is not limited to:

(a) Uploading or disseminating any content that is defamatory, obscene, abusive, or infringes upon the rights of others.
(b) Attempting to gain unauthorized access to the Platform, its servers, or any other systems or networks associated with the Platform.
(c) Introducing any viruses, malware, or other malicious code that may damage or interfere with the proper functioning of the Platform or other users’ devices.
(d) Engaging in any activities that could disrupt or impair the performance, security, or integrity of the Platform or its associated infrastructure.
(e) Engaging in any fraudulent, deceptive, or misleading activities on the platform.

8.3 Compliance with Laws: You agree to comply with all applicable laws, regulations, and legal obligations when using the Platform. This includes, but is not limited to, laws related to data protection, intellectual property, privacy, and online conduct.

8.4 Consequences of Violation: Any violation of this clause may result in immediate termination of your access to the Platform and may subject you to legal consequences and damages.

8.5 Reporting of Violations: If you become aware of any violation of this clause or any suspicious or malicious activities on the platform, you agree to promptly report such incidents to us.

8.6 Survival: The obligations and restrictions contained in this clause shall survive the termination of these Terms and your use of the Platform.

9. Disclaimers and Limitation of Liability
9.1 Disclaimer of Warranties: The Platform and services are provided on an “as is” basis. We do not make any warranties or representations regarding the accuracy, reliability, or suitability of the content or functionality provided by the Platform.

9.2 Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Platform or services.

9.3 Indemnification: You agree to indemnify and hold harmless our company, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third-party rights.
